Terms of Service.

Calmer Agency provides a client-operations platform for marketing agencies. By creating an account you agree to these terms and to our Privacy Policy.

You confirm the details you give are accurate, that you are at least 18 and authorised to act for your agency, and that you keep your login credentials safe. You are responsible for activity under your account.

Use Calmer Agency lawfully. Do not scrape or bulk-extract data, attempt to break security or tenant isolation, resell the service, or use it to harass others or send unlawful content. Do not reverse-engineer, decompile or disassemble the service, except to the extent that mandatory law (for example EU Software Directive 2009/24/EC Article 6 on interoperability) expressly permits and you cannot lawfully waive that right. One trial is allowed per company.

Calmer Agency, including the platform, its software, source code, design, branding, trademarks and documentation, is owned by us and our licensors, and all rights are reserved. We grant you a limited, revocable, non-transferable, non-sublicensable right to use the hosted service for your own internal business purposes while your subscription is active. You may not copy, modify, create derivative works of, frame, rent, lease, lend or use the service to build or operate a competing product. Your own data and content stay yours, as set out above; nothing here transfers ownership of your data to us. If you choose to send us feedback, ideas or suggestions, you grant us a perpetual, worldwide, royalty-free licence to use them to improve the service, with no obligation to you.

Plans are billed in euros through Mollie. When you start, you confirm a payment method (SEPA, iDEAL or card) as a mandate. Subscriptions renew automatically each term until you cancel. Prices and what each plan includes are shown at signup and in Settings → Billing.

New agencies get a 30-day free trial with no credit card required to start. You only add a payment method when you decide to continue. If you add one and do not cancel before the trial ends, your chosen plan begins and the first charge is taken; if you add none, access simply pauses until you subscribe.

You can cancel from Settings → Billing. On a monthly plan, cancellation takes effect at the end of the current paid month, there is no minimum term, and there is no mid-month refund. An annual plan has a 6-month minimum term: you can cancel from the start of month 6, and cancellation then takes effect at the end of the current month. On annual early termination we settle the annual discount on the months you used, the months used are recharged at the standard monthly rate and only the genuine remainder is refundable. Except for these settlements and where the law requires otherwise, payments already made for a period are non-refundable.

Your data stays yours. You are responsible for the client data you put into the workspace and for having the right to process it. We process it only to provide the service, as described in the Privacy Policy and any DPA. You can export or delete your data from inside the app.

We work hard to keep the service available, but it is provided on an "as is" and "as available" basis. We may improve, change or perform maintenance on the service, and will avoid disruption where we reasonably can.

To the extent allowed by law, Calmer Agency is not liable for indirect or consequential loss, and our total liability is limited to the amount you paid for the service in the six months before the claim.

These terms are governed by the laws of the Netherlands (EU), and any dispute falls under the competent court in Haarlem, the Netherlands. We would always try to resolve any issue with you directly and informally first.

We may update these terms. For material changes we will let you know in the app and revise the date above. Continuing to use the service means you accept the updated terms.
